The OneLife Company S.A. (the “Company”) is pleased to announce the opening of a tendering process for the appointment of its statutory auditor for a minimum of 3 years starting with the audit of its annual accounts for the year ending 31 December 2021.
The Company is a life insurance company incorporated in Luxembourg since 1990. The sole shareholder and parent of the Company is The OneLife Holding S.à r.l. which is also incorporated in Luxembourg. Since 2019, the OneLife Group is owned by APICIL Prévoyance (Institution de Prévoyance incorporated under French law) and by APICIL Epargne S.A. (company incorporated under French law) itself entirely owned by APICIL Prévoyance. The Company’s accounts are consolidated for Groupe APICIL within the combined accounts at the level of Société de Groupe Assurantiel de Protection Sociales (France).

The process will comply with the requirements and the legal framework for the renewal or appointment of a statutory auditor, as stated by the CSSF for Public Interest Entities. In addition, Groupe APICIL has set some internal rules and guidelines for such tendering process in order to ensure the internal consistency of the selection or renewal process for the statutory auditors of its entities.
Amongst other selection criteria, several will be deeply scrutinised:
- Economical/financial aspects of the proposal (budget, timeline, etc.)
- Technical aspects of the proposal (expertise, references, international reporting, planning and deadlines, size and experience of the team and the audit firm, etc.)
- Social and quality aspects of the proposed team (participation to expert working group, training and competence, social & environmental approach and view, etc.)
We would appreciate to be informed before 7 June 2021 of any interest from audit firms in order to further coordinate the next steps (such as confidentiality clauses, Q&A, exchange of information and documents, etc.).

The Company will not make public the elements for the assessment and selection of the auditor.

The Company will make its sovereign decision in application of its governance rules and taking into account in particular the result of the assessments carried out according to the criteria described.
